SERVICE AGREEMENT

Celestium AI ("we," "us")

This Service Agreement governs the use of services provided by Celestium AI.

For purposes of this Agreement, “Client” refers to the individual or business that completes checkout, submits payment, or otherwise authorizes billing for Celestium AI services.

By completing checkout, submitting payment, or authorizing billing, the Client agrees to the terms of this Agreement.

1. Services

Celestium AI provides digital services which may include websites, AI voice agents, AI chat agents, automation systems, integrations, SEO related services, content creation, campaign based services, and other related tools (collectively, the “Services”), based on the service tier or offer selected at checkout.

For purposes of this Agreement, service delivery is considered complete when the primary service component included in the Client’s selected service tier has been deployed, activated, and made accessible for Client use.

Examples of service delivery may include, but are not limited to:

• A website being live and accessible

• An AI voice agent being active and capable of receiving or placing calls

• An AI chat agent being live and capable of responding to messages

Services are considered delivered once they are activated and made available, regardless of the extent to which the Client actively uses them.

Client acknowledges that activation of the Services may begin immediately after checkout and payment processing.


Ongoing and Time Based Services

Certain Services included in a service tier, such as SEO, search visibility improvements, rankings related efforts, content creation, profile optimization, and campaign based services, are delivered over time and not all components are available immediately upon initial activation.

Client acknowledges that services related to search engine optimization, rankings, traffic, and online visibility involve third party platforms and external factors outside Celestium AI’s control and therefore require time to take effect.

Specific rankings, timelines, or performance outcomes are not guaranteed unless explicitly stated in writing at checkout.

Celestium AI works with Clients in good faith to implement included services as efficiently as possible based on the selected service tier.

2. Fees and Payment Timing

Client agrees to pay all applicable fees as presented and accepted at checkout.

The one time setup fee is collected at checkout to initiate onboarding, configuration, and service activation.

Recurring monthly service fees begin thirty (30) days after the setup fee is collected, unless otherwise specified at checkout.

All fees, including setup fees and subscription fees, are non refundable once payment has been processed unless expressly stated otherwise at checkout.

3. Subscription Term and Billing

Recurring services are provided on a month to month basis unless otherwise specified at checkout.

Monthly billing continues automatically unless and until the subscription is canceled in accordance with Section 6.

Delays caused by missing materials, access, approvals, or responsiveness from the Client do not pause or delay billing once the Services have been delivered and made available.

4. Access and Use of Services

All systems, automations, websites, AI configurations, workflows, phone numbers, scripts, and infrastructure provided as part of the Services are operated and maintained by Celestium AI.

While the subscription remains active and in good standing, Client is granted access to use the Services for their business purposes.

Upon cancellation or nonpayment, access to the Services and related assets will be disabled.

5. Ownership and Client Data

Celestium AI retains ownership of the platforms, systems, automations, workflows, configurations, and infrastructure used to deliver the Services.

Client retains ownership of their own business data, including customer contact information and content provided by the Client.

Services, configurations, and system assets provided by Celestium AI are not transferable to other providers or agencies after cancellation.

6. Cancellation

Client may cancel the subscription at any time by providing at least ten (10) days written notice prior to the next billing cycle.

Cancellation stops future recurring billing but does not entitle Client to refunds of previously paid fees.

Upon cancellation, all access to Services and related assets will be disabled.

7. No Guarantees

Celestium AI does not guarantee specific results, including leads, revenue, rankings, conversions, traffic levels, or business performance.

The Services are tools and systems intended to support Client operations. Outcomes depend on factors outside Celestium AI’s control.

8. Client Responsibilities and Compliance

Client is responsible for using the Services in compliance with all applicable laws, regulations, and third party platform policies, including those related to messaging, advertising, data privacy, and consumer protection.

Celestium AI does not provide legal advice and does not monitor or enforce Client compliance obligations.

9. Agreement Acceptance

This Agreement becomes legally binding when the Client completes checkout, submits payment, or authorizes billing.

By proceeding with checkout, the Client confirms that they have reviewed and agreed to this Agreement.

Celestium AI maintains records of checkout acceptance, payment authorization, and agreement acknowledgment for verification purposes.

No physical or electronic signature is required.
